Seasons Jewelry Wholesale Terms & Conditions

Introduction

These Wholesale Terms & Conditions (the "Agreement") govern the relationship between Seasons Jewelry ("Supplier" or "Seasons Jewelry") and any Wholesale Buyer ("Buyer" or "Retailer") who purchases Seasons Jewelry products for resale, whether through physical storefronts, online platforms, or other digital marketplaces ("Digital Resellers").

This Agreement is binding upon all Buyers, including those who continue to possess, advertise, or resell Seasons Jewelry products. By purchasing, possessing, advertising, or reselling Seasons Jewelry products in any form or channel, the Buyer agrees to be bound by the most current version of this Agreement. Continued resale or display of Seasons Jewelry products shall constitute acceptance of all updates to these Terms & Conditions.

Seasons Jewelry reserves the right to modify this Agreement at any time. Updates will be made available through our website or via direct communication and shall take effect immediately upon publication unless otherwise stated.

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles. Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the state or federal courts located in Georgia.

Wholesale Account Approval

At Seasons Jewelry, all wholesale account requests are subject to review by our team. We are intentional about selecting retail partners who align with our brand values and market positioning, rather than pursuing broad market saturation.

To be considered for a wholesale account, applicants must, at minimum, have either a brick and mortar retail location or an active e-commerce website. We must also have a copy of a valid Sales & Use Tax Certificate.

Our team will conduct research to ensure there is a strong brand fit for our products. This selective approach helps protect the integrity of our brand, supports strong retail sell-through, and ensures mutual success.

Providing false or outdated information will result in the immediate termination of the business relationship and revocation of wholesale purchasing privileges.

Brand Reputation and Disallowed Sales Channels

Seasons Jewelry has diligently built its brand reputation over many years. To maintain the integrity of our brand, Retailers are strictly prohibited from selling our products through the following channels:

1. Faire
2. Etsy
3. eBay
4. Any online/social media yard sale site
5. Any online auction sites
6. Flea markets
7. Thrift stores
8. Other liquidation & clearance outlets

Direct Retail Sale Only 

Buyers, including distributors, are strictly prohibited from wholesaling or redistributing Seasons Jewelry products to other retailers, whether online (including but not limited to third-party marketplaces or B2B platforms) or at in-person wholesale shows, trade events, or similar settings. Seasons Jewelry products are intended for direct retail sale only and may not be resold at wholesale by any party other than Seasons Jewelry unless express written permission is granted.

Minimum Advertised Price (MAP)

1. Everyday Pricing: Retailers must not advertise Seasons Jewelry products below the specified Minimum Advertised Price (MAP). Pricing below MAP undermines the value and reputation of our brand and products.
2. Promotions & Sales: Retailers may advertise prices below MAP as part of a limited-time promotion or sale, provided that:
   1. The promotion or sale duration is explicitly stated
   2. Such promotiosn are not represented as the product's standard or everyday price.
3. Advertising Media: MAP applies to all forms of public advertising, including but not limited to websites, social media, email campaigns, print ads, and digital marketing channels.

Seasons Jewelry reserves the right to cease business with any Retailer found selling our products below the MAP. Termination of the business relationship may result in the revocation of wholesale purchasing privileges.

Collegiate Jewelry Licensing

1. Seasons Jewelry offers officially licensed collegiate jewelry. All licensed products must prominently display the Officially Licensed insignia on the hangtag to be compliant with licensing requirements.
2. Sales of officially licensed jewelry without the appropriate licensing stickers or hangtags are strictly prohibited.

Ownership of Designs

All product designs, including but not limited to jewelry designs, packaging designs, and marketing materials, are the exclusive property of Seasons Jewelry. Retailers are prohibited from reproducing, copying, or imitating these designs in any way without explicit written consent from Seasons Jewelry. 

Use of Seasons Jewelry photography for marketing & promotion purposes is permitted.

Compliance with Laws

Retailers are responsible for complying with all applicable local, state, and federal laws and regulations, including those related to the sale of jewelry and licensed products.

Order Placement and Payment

1. Wholesale orders may be placed through the Seasons Jewelry website:  www.seasonsjewelry.com, in person at our showroom, on Faire:  www.faire.com/direct/seasonsjewlery or by calling Customer Service:  866-382-0737.
2. Order minimums are as follows:
1. For Phone-in orders - Minimum $200 Opening Order - $150 Reorder
2. Seasons Jewelry.com Online Orders - $150 minimum on all online orders
3. A minimum of 3 per style is required, unless otherwise noted
4. Credit card payment is required for all orders.  Visa, MC, AmEx & Discover cards are accepted.
5. Net30 customers must go through a credit and reference check and orders must have a minimum volume/total order amount.

Shipping and Returns

1. Shipping costs are the responsibility of the Buyer unless otherwise agreed upon in writing.
2. If packages are reported as undelivered despite proof of delivery from the carrier, buyer will be required to pay for shipping with signature confirmation. Note this shipping method comes at a higher cost.

Termination of Wholesale Agreement

Seasons Jewelry reserves the right to terminate this wholesale agreement at any time for any reason, including but not limited to violations of the terms and conditions outlined herein.

Modifications to Terms & Conditions

Seasons Jewelry may modify these Wholesale Terms & Conditions at any time. Updates will be posted on our website:  www.seasonsjewelry.com

By proceeding with wholesale purchases from Seasons Jewelry, the Buyer acknowledges that they have read, understood, and agreed to abide by these Wholesale Terms & Conditions.
